1. Acceptance of Terms

By accessing or using the MyMerlin platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and MyMerlin (“MyMerlin,” “we,” “us,” or “our”).

We may update these Terms from time to time. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.

2. Description of Service

MyMerlin is an AI coaching platform that allows users (“Subscribers”) to interact with AI-powered avatars trained on content licensed from coaches and subject-matter experts (“Principals”). The Service provides AI-generated coaching conversations based on that licensed content. It does not provide professional advice (legal, medical, financial, or otherwise) and is not a substitute for licensed professional services.

3. Accounts and Registration

To use the Service you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years old to register. Notify us immediately at support@mymerlin.ai if you suspect unauthorized access to your account.

You agree to provide accurate, current, and complete information and to keep it updated. We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

4. Subscriptions, Billing, and Cancellation

The Service is offered on a subscription basis with recurring monthly billing. By subscribing, you authorize MyMerlin to charge your payment method on a monthly basis until you cancel. Payments are processed by Stripe, Inc. (“Stripe”); MyMerlin does not store your full card number or payment credentials.

Renewal. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. The renewal charge will be at the then-current subscription price, except where your subscription explicitly locks in pricing or other terms.

Cancellation. You may cancel your subscription at any time through the account billing portal or by contacting support@mymerlin.ai. Cancellation takes effect at the end of the current billing period; you retain access to the Service through that date. We do not provide prorated refunds for partial billing periods except where required by applicable law.

Failed payments. If a payment fails, we may attempt to recharge your payment method and may suspend or terminate your access if payment cannot be collected after reasonable attempts.

Price changes. We may change subscription prices upon reasonable advance notice. Continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Harass, threaten, or harm any person.
  • Upload or transmit malicious code or interfere with the Service's operation.
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models or content.
  • Impersonate any person or entity.
  • Use the Service to generate or distribute spam, deceptive content, or illegal material.
  • Share your account credentials with others.

We reserve the right to suspend or terminate access for any violation of these acceptable use rules, without prior notice.

6. Intellectual Property

MyMerlin's IP. The MyMerlin platform, software, design, trademarks, and all content we produce are owned by or licensed to MyMerlin. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

Principal Content. Coaching content, courses, frameworks, and other materials provided by Principals remain the intellectual property of those Principals. Principals license this content to MyMerlin to power AI avatars; subscribers receive a limited, personal, non-transferable license to access that content through the Service for their own coaching purposes. No other rights in Principal content are granted.

Your Content. Chat messages and other input you provide remain yours. By submitting them, you grant MyMerlin a limited license to process them to deliver the Service (including generating AI responses and maintaining your coaching profile).

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

AI-generated coaching responses are not professional advice. MyMerlin is not a licensed therapist, financial advisor, or medical provider. Reliance on AI-generated content is at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYMERLIN AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO MYMERLIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part of it) at any time, with or without notice. We will endeavor to provide reasonable advance notice of material changes to the Service or these Terms. Your continued use after changes are posted constitutes acceptance.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of North Carolina, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.

11. Termination

Either party may terminate the relationship under these Terms at any time. We may terminate your access immediately if you violate these Terms. Upon termination, all licenses granted to you cease; provisions that by their nature should survive termination (IP, limitation of liability, governing law) will do so.
